User License Agreement
 

1. Ownership
   
   ARGOX owns the right to license the usage of the title, copyright, and other intellectual property rights in the SOFTWARE according to the terms and conditions set forth in this ULA. The SOFTWARE is licensed, not sold. In no event should it be deemed as a transfer of ownership of any copyrights of or any other intellectual property rights to the SOFTWARE from ARGOX to you.
    
2. Grant of License
   
   2.1 Under this ULA, ARGOX grants you a non-exclusive and non-transferable license to install and use the SOFTWARE within your present domicile.
   2.2 ARGOX further grants you a license to make only one (1) copy of the SOFTWARE at all times for backup purpose only.
   2.3 You are further prohibited from using SOFTWARE in any manner other than as described in Section 2.1 and Section 2.2. You may not, (i) make any copies of the SOFTWARE (ii) modify the SOFTWARE, (iii) reverse engineer, decompile or use the SOFTWARE to create any derivative software through current or future available technologies or any other way, (iv) rent, lease, resell or sublicense the SOFTWARE to any third parties in any manner, (v) distribute or make available the SOFTWARE to the public in any manner, or (vi) use, remove or change any proprietary notices, marks or logos relating to trade names, trade dress, trademarks, copyrights or other intellectual property rights displayed in or by the SOFTWARE.
   2.4 ARGOX may modify or update the SOFTWARE periodically.
    
3. Disclaimer of Warranties
   
   YOU AGREE THAT ARGOX HAS MADE NO EXPRESS WARRANTIES TO YOU REGARDING THE SOFTWARE. ARGOX DISCLAIMS ALL WARRANTIES WITH REGARD TO THE SOFTWARE, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, SATISFACTORY QUALITY, OR NONINFRINGEMENT OF THIRD-PARTY RIGHTS.
    
4. Disclaimer of Liability
   
   IN NO EVENT WILL ARGOX BE LIABLE TO YOU FOR ANY LOSS OF USE, INTERRUPTION OF BUSINESS, OR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING LOST PROFITS) REGARDLESS OF THE FORM OF ACTION WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT PRODUCT LIABILITY OR OTHERWISE. THIS SOFTWARE IS PROVIDED "AS IS". THE ARGOX DOES NOT WARRANT THAT USE OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE. YOU ACCEPT THAT SOFTWARE IN GENERAL IS PRONE TO BUGS AND FLAWS WITHIN AN ACCEPTABLE LEVEL AS DETERMINED IN YHE INDUSTRY. YOU THEN AGREE TO UNCONDITIONALLY WAIVE ALL STATUTORY OR OTHER RIGHTS THAT MAY BE HELD BY YOU AGAINST ARGOX IN RESPECT OF SUCH BUGS AND FLAWS.
    
5. Term
   
   The term of this ULA will become effective upon your downloading the SOFTWARE and continue in effect until you delete the SOFTWARE. However, ARGOX retains the right to terminate this ULA without any cause or notice.
    
6. Governing Law
   
   This ULA will be enforced or construed according to the laws of Taiwan. In case any provision in this ULA shall be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.
